Abstract

Yaşanan hızlı küreselleşmenin sonucunda artan rekabet karşısında şirketlerin var olmaya devam etmesi için etkin maliyet yöntemleri geliştirmesi, etkili yönetim arayışlarına girmesi ve uluslararası düzeyde rekabet gücüne sahip olmaları gerekmektedir. Ekonomik etkiler açısından, şirket birleşmeleri genellikle maliyet avantajı elde etme ve verimliliği artırma amacını güder. Bu durum, birleşen şirketlerin ölçek ekonomilerinden faydalanmasını sağlar ve genellikle hisse değerini artırır. Ancak, birleşmeler rekabeti azaltma riski taşır, çünkü birleşen şirketlerin birlikte daha fazla güç kazanmaları, pazarlarda daha etkili bir konuma gelmelerine neden olabilir. Bu durum, rekabet kuralları ve tüketicinin çıkarları açısından dikkatle ele alınmalıdır. İş gücü üzerindeki etkiler de önemlidir; birleşmeler genellikle operasyonel verimliliği artırmayı amaçlar ve bu da bazen iş gücü azaltımına neden olabilir. Şirket birleşmeleri karmaşık bir stratejik süreçtir ve ekonomik etkileri geniş bir perspektiften değerlendirilmelidir. Doğru bir strateji, etkili bir yönetim ve şeffaf bir süreçle gerçekleştirildiklerinde, şirket birleşmeleri hem iş dünyası hem de ekonomi üzerinde olumlu etkiler bırakabilir. Ancak, bu süreçlerin dikkatlice planlanması ve uygulanması, rekabetin ve tüketicinin korunması adına önemlidir. Bu bağlamda çalışmada şirket birleşmeleri ayrıntılı bir biçimde incelenerek hem literatüre hem de uygulayıcılara katkı sağlama hedeflenmektedir. Çalışmanın temel amacı; şirket birleşmelerini vergi mevzuatı ve diğer ilgili Kanunlar, TFRS, MSUGT ve süreçleri yönüyle ayrıntılı olarak incelemek, özelikle konuyu uygulama boyutuyla kapsamlı sunarak, karşılaşılan sorunlar hakkında çözüm önerileri sunmaktır.

In order to continue to exist in the face of increasing competition as a result of rapid globalization, companies need to develop effective cost methods, seek effective management and have competitive power at the international level. However, mergers carry the risk of reducing competition because the combined companies may gain more power together, leading to a more influential position in the markets. This situation must be handled carefully in terms of competition rules and the interests of the consumer. Impacts on the workforce are also significant; Mergers are often aimed at improving operational efficiency, which can sometimes result in workforce reductions. Mergers are a complex strategic process and their economic impact should be evaluated from a broad perspective. When carried out with the right strategy, effective management and a transparent process, mergers can have positive effects on both the business world and the economy. However, careful planning and implementation of these processes is important for the protection of competition and the consumer. In this context, the study aims to contribute to both the literature and practitioners by examining company mergers in detail. The main purpose of the study is; Our aim is to examine company mergers in detail in terms of tax legislation and other relevant laws, Turkish Financial Reporting Standards, Accounting System Application General Communiqué and processes, and to offer solutions to the problems encountered by presenting the subject comprehensively in terms of application..
